3 September 2026
Dear shareholder,
Your vote is needed to unlock the value of Far East Gold Ltd (Company)
Xingye Gold (Hong Kong) Mining Company Limited (Xingye), the Company's largest shareholder, holding
34.57% of the Company's shares, has convened an Extraordinary General Meeting to be held on
3 November 2026 at 11:00am (Brisbane time).
At the mHHWLQJWKH&RPSDQ\¶VVKDUHKROGHUVZLOOvote on the removal of Justin Werner, Shane Menere, Paul
Walker and Chris Atkinson as directors of the Company.
Xingye Silver & Tin wants to move forward with the right Board
Xingye's parent company, Inner Mongolia Xingye Silver & Tin Mining Co., Ltd. (Xingye Silver & Tin), is an
experienced mining company with significant financial resources and the technical expertise needed to
advance the Company's projects into profitable production for the benefit of all shareholders.
However, Xingye Silver & Tin will only continue to invest in and deploy its technical capability for the benefit
of the Company if the Company is overseen by a Board with appropriate governance standards and the
capabilities needed to work co-operatively with Xingye Silver & Tin.
In Xingye's view, a Board that includes Justin Werner, Shane Menere, Paul Walker and Chris Atkinson
would not have those standards and capabilities. Their track record, as outlined in section 3.2 of the
accompanying Explanatory Memorandum, has demonstrated to Xingye that they should not remain on the
Board.
Most recently, during Xingye's takeover bid for the Company, which closed on 29 July 2026:
x they claimed that the Company's shares had a value of between A$0.324 and A$0.444 per share.
However, since the close of the bid, the Company's shares have not traded above A$0.14 per share,
less than one-third of their claimed value; and
x they announced that they had received proposals to sell the Wonogiri Project and Trenggalek Project.
However, those proposals have not materialised, and shareholders have not received any update
regarding their status.
Recommendation
Xingye strongly urges all shareholders to vote IN FAVOUR of Resolutions 1 to 5 in the accompanying
Notice of Meeting and remove Justin Werner, Shane Menere, Paul Walker and Chris Atkinson as directors
of the Company.
By doing so, you will provide a pathway for Xingye Silver & Tin to provide significant further investment and
technical support to the Company, which will increase the value of the Company for all shareholders.
Xingye Silver & Tin will not provide that investment and support unless Resolutions 1 to 5 are passed.
The future of the Company is in your hands.
Yours sincerely,
Fan Hansheng
Managing Director

Explanatory Memorandum
1 INTRODUCTION
This Explanatory Memorandum is provided to Shareholders of the Company to explain the
Resolutions to be put to Shareholders at the Extraordinary General Meeting to be held at
Level 29, 111 Eagle Street, Brisbane 4000 Queensland and via the LUMI online platform at
https://meetings.lumiconnect.com/300-427-054-917 at 11.00am (Brisbane time) on
3 November 2026.
Xingye recommends that Shareholders read the accompanying Notice and this Explanatory
Memorandum in full before making any decision in relation to the Resolutions.
Unless the context requires otherwise, capitalised terms in this Explanatory Memorandum
have the meanings given in Section 4 (Glossary).
2 AUTHORITY TO CONVENE THE MEETING
Section 249F of the Corporations Act provides that members with at least 5% of the votes that
may be cast at a general meeting of a company, may call, and arrange to hold, a general
meeting. The members calling the meeting must pay the expenses of calling and holding the
meeting. Xingye Gold (Hong Kong) Mining Company Limited (Xingye) is a member holding
34.57% of the votes that may be cast at a general meeting.
On 2 September 2026, Xingye gave notice to the Company of its intention to move resolutions
at a general meeting for the removal of:
(a) Justin Werner;
(b) Shane Menere;
(c) Paul Thomas Walker; and
(d) Christopher David Atkinson,
(together, the Relevant Directors) as directors of the Company, and the removal of any other
person appointed as a director of the Company after the date of that notice and before the
conclusion of the Meeting other than a director nominated by Xingye (Removal Notice).
The Removal Notice was required under section 203D of the Corporations Act to enable the
Resolutions to be put to Shareholders at the Meeting.
Shareholders should note that Resolution 2 provides only for the removal of Mr Menere as a
director of the Company and not for his removal as the Chief Executive Officer of the Company.
This Explanatory Memorandum provides information which Xingye believes to be material to
Shareholders in considering and voting on the Resolutions to be considered at the Meeting.

3 RESOLUTIONS TO REMOVE THE RELEVANT DIRECTORS
3.1 Introduction
Xingye is the largest shareholder of the Company, holding 34.57% of the Shares on issue.
Xingye invested A$14.67 million in the Company during 2024 and 2025, acquiring a 19.99%
shareholding. Xingye then increased its holding to 34.57% through its takeover bid for the
Company that closed on 29 July 2026 (Takeover Bid).
Xingye¶VSDUHQWFRPSDQ\,QQHU0RQJROLD;LQJ\H6LOYHU 7LQ0LQLQJ&R/WG Xingye Silver
& Tin), had a market capitalisation of approximately ¥70.76 billion (A$14.69 billion) as at the
close of trading on 31 August 2026. It recorded a net profit of approximately ¥1,704.24 million
(A$353.86 million) for the financial year ended 31 December 2025.1
Xingye Silver & Tin has a long and successful track record of undertaking geological
exploration, constructing mines and profitably extracting, processing and selling minerals.
Xingye Silver & Tin therefore has the potential to deploy its significant financial resources and
technical expertise in progressing WKH&RPSDQ\¶V projects into profitable production for the
benefit of all Shareholders.
BULQJLQJ WKH &RPSDQ\¶V SURMHFWV WRZDUGV SURGXFWLRQ ZRXOG UHTXLUH substantial further
investment. Based on Xingye's experience with comparable projects, Xingye estimates that it
will cost Shareholders at least a further:
(i) US$100 million (A$139.55 million) to bring the Idenburg Project into production;
(ii) US$60 million (A$83.73 million) to bring the Woyla Project into production; and
(iii) US$30 million (A$41.86 million) to bring the Trenggalek Project into production.2
Xingye Silver & Tin is willing to commit substantial investment into the Company for its
exploration activities, and the development of WKH&RPSDQ\¶Vmining projects into production.
However, Xingye Silver & Tin is only prepared to make that commitment if the Company is
overseen by a Board with appropriate accountability and governance standards and the
capabilities needed to work with Xingye Silver & Tin WRGHYHORSWKH&RPSDQ\¶VSURMHFWV.
For the reasons explained below in Section 3.2, Xingye Silver & Tin does not believe a Board
that includes the Relevant Directors exhibits those standards or capabilities and urges
Shareholders to unlock the potential of the Company by voting to remove the Relevant
Directors from office.
3.2 Reasons why Shareholders should vote in favour of the Resolutions
(a) Claims made during the Takeover Bid have not been fulfilled
During the Takeover Bid, the Relevant Directors (who formed the &RPSDQ\¶V
Independent Bid Response Committee):
(i) Repeatedly claimed that the Company's shares had a value of between
A$0.324 and A$0.444 per share. However, since the close of the Takeover
Bid, the Company's share price has not traded above A$0.14 per share.
(ii) Announced that the Company had received acquisition proposals for the
Wonogiri Project and Trenggalek Project. However, there has been no
further update on those proposals since the Takeover Bid closed on 29
July 2026.

Far East Gold Ltd
Notice of Extraordinary General Meeting and Explanatory Statement
7
These unfulfilled claims raise serious questions about the credibility of the Relevant
Directors.
(b) Loss of key project approvals
(i) (Wonogiri Project) The Company has lost the Wonogiri Mining Licence
because:
(A) it was revoked on 5 April 2022, just eight days after the Company
listed on ASX; and
(B) it has not been reinstated despite multiple attempts by the
Company, including two unsuccessful petitions to the Jakarta
Administrative Court.
Xingye has been advised by a leading Indonesian law firm that all available
legal avenues to compel the reinstatement of the Wonogiri Mining Licence
through administrative law proceedings appear to have been exhausted.
(ii) (Woyla Project) There is also a high risk that the Company has lost the
Woyla Mining Contract because:
(A) the Indonesian Director General of Minerals and Coal (DGoMC)
has stated that, unless the outstanding rent and associated late
payment penalties of Rp2,042,692,000 (approximately
A$160,614.25) due under the Woyla Mining Contract are paid
immediately, the DGoMC will take regulatory action;3
(B) there have been two applications to the DGoMC to extend the
exploration period under the Woyla Mining Contract, but neither
has been approved; and
(C) the Woyla Mining Contract is not currently recorded in
,QGRQHVLD¶VPLQLQJOLFHQFHGDWDEDVH
The loss of the Wonogiri Mining Licence and the high risk that the Woyla Mining
Contract has also been lost represent serious failures of oversight by the Relevant
Directors and significantly diminish the Company's growth prospects and
Shareholder value.
(c) Deteriorating financial position
'HVSLWH;LQJ\H¶VA$14.67 million investment in the Company during 2024 and 2025,
the Company's financial position has continued to deteriorate. In particular:
(i) The Company disclosed in its quarterly activities report for the quarter
ended 30 June 2026 that it had cash and cash equivalents of only
approximately A$1.9 million and expected those funds to be fully depleted
by 12 October 2026 (assuming that the same rate of outgoings for the
quarter ended 30 June 2026 continued in subsequent quarters).
Additionally, the quarterly activities report does not consider the significant
liabilities of the Company, including:
(A) the transaction costs in relation to the Takeover Bid, which were
estimated to be approximately A$668,933.00; and
(B) rent and associated late payment penalties of Rp2,042,692,000
(approximately A$160,614.25) due under the Woyla Mining
Contract.

Based on an exchange rate of A$/Rp12,718 published by the Reserve Bank of Australia on 31 August 2026.

(ii) Despite indicating in its financial report for the half year ended 31
December 2025 that it intended to raise A$10 million (net of costs) under
a placement, the Company has not taken steps to secure such funding.
These matters give rise to material uncertainty regarding the Company's ability to
remain solvent and demonstrate the failure of the Relevant Directors to adequately
PDQDJH WKH &RPSDQ\ V ILQDQFLDO SRVLWLRQ SODFLQJ WKH &RPSDQ\¶V FRQWLQXHG
operations and Shareholder value at serious risk.
(d) Limited or no progress on projects
Since listing in March 2022, the Company has raised approximately A$32.12 million
from Shareholders, yet there has been limited or no progress on its projects.
In particular:
(i) there has been only limited drilling activity at the Idenburg Project, the
Woyla Project and the Mount Clark West Project; and
(ii) no drilling has been undertaken at the Wonogiri Project, Blue Hill Creek
Project or Trenggalek Project.
After more than four years as a listed company and significant Shareholder funding,
Shareholders have yet to see a single project progress towards development or
production.
(e) Breaches of its legal obligations
Under the oversight of the Relevant Directors, the Company has repeatedly
breached its legal obligations:
(iii) (Continuous disclosure) the Company has breached its continuous
disclosure obligations under ASX Listing Rule 3.1 by failing to disclose
material information to the market, including:
(A) the revocation of the Wonogiri Mining Licence on 5 April 2022;
and
(B) the termination of the Woyla Conditional Share Purchase
Agreement on 31 December 2024 due to unsatisfied conditions;
and
(i) (Woyla Project) the Company has caused breaches of obligations under
the shareholder agreements governing the Woyla Project by failing to pay
rent due under the Woyla Mining Contract since November 2024.
Taken together, these matters raise serious concerns about the governance and
transparency of the Relevant Directors.
3.3 The path to a better future for the Company
Xingye is confident that, if the Relevant Directors are removed at the Meeting, the remaining
directors, being Monique Tang, Michael Thirnbeck and Justin Hastings, have the skills,
knowledge and experience necessary to advance the Company's projects and grow
Shareholder value.
The remaining directors will also identify and appoint suitably qualified independent directors
with relevant mining, operational and corporate experience to strengthen the Board and
ensure the Company is equipped to deploy the substantial financial investment and technical
expertise that Xingye Silver & Tin is prepared to commit.

3.4 Recommendation
The choice before Shareholders is clear: a vote in favour of the Resolutions is a vote for
unlocking significant further financial investment and technical expertise from Xingye Silver &
Tin for the benefit of all Shareholders.
A vote against any of the Resolutions is a vote:
(a) to retain the Relevant Directors who, in Xingye's view, have overseen the loss of key
project approvals, the deterioration of the Company's financial position, limited
progress on the Company's projects, and repeated breaches of the Company's legal
obligations; and
(b) to prevent the Company from securing significant further investment and technical
support from Xingye Silver & Tin.
Accordingly, Xingye urges Shareholders to vote in favour of Resolutions 1 to 5 to remove:
(c) Justin Werner;
(d) Shane Menere;
(e) Paul Thomas Walker; and
(f) Christopher David Atkinson,
as directors of the Company, as well as any other person appointed as a director of the
Company after the date of the Removal Notice and before the conclusion of the Meeting other
than a director nominated or appointed by Xingye.
