COMPANY STATEMENT
Meetings requisitioned by shareholders
Following the shareholders’ request announced to ASX on 3 September 2026, the directors have
convened an Extraordinary General Meeting to consider the removal of Monique Tang, Michael
Thirnbeck and Justin Hastings as directors.
The meeting will be held on Wednesday 21 October 2026 at 1:00pm Brisbane time (AEST), being
2:00pm (AEDT). The formal Notice of Meeting, Explanatory Memorandum and details of how to vote
follow this statement, and proxy materials are being dispatched to shareholders by Automic.
Xingye Gold (Hong Kong) Mining Company Limited (Xingye) has separately convened a shareholder
meeting to consider the removal of Justin Werner, Shane Menere, Paul Thomas Walker and Christopher
David Atkinson, together with the removal of certain other directors appointed from 2 September 2026
as specified in Resolution 5 of Xingye’s notice.
The meeting convened by Xingye will be held on Tuesday 3 November 2026 at 11:00am Brisbane time
(AEST). Automic will also distribute proxy materials for that meeting, enabling shareholders to lodge
proxies for both meetings through its platform. Shareholders using this service do not need to lodge the
same proxy appointments with Boardroom. Shareholders must submit their voting instructions
separately for each meeting, whether online or by completing the proxy forms.
Board recommendations
A majority of the Board recommends voting FOR all resolutions being considered at the Company-
convened meeting on 21 October 2026.
Every vote matters: each resolution is decided by a simple majority of votes cast on a poll. Xingye
holds 34.57% of the Company’s shares, making participation by other shareholders particularly
important. Submit your voting instructions early for both meetings through Automic.
Proxy appointments must be received by:
• 21 October meeting: 1:00pm Brisbane time (AEST), being 2:00pm AEDT, on Monday 19
October 2026.
• 3 November meeting: 11:00am Brisbane time (AEST) on Sunday 1 November 2026.
If appointed as your proxy, Justin Werner will vote in accordance with your instructions. If you do not
provide voting instructions, he intends to vote FOR all resolutions at the 21 October meeting and
AGAINST all resolutions at the 3 November meeting.
What shareholders are being asked to decide
Xingye in the meeting it has convened for 3 November 2026 seeks to remove four of FEG’s seven
directors while its shareholding in FEG sits at 34.57%. Its Explanatory Memorandum for that meeting
indicates that further investment and technical support for FEG is conditional on those removals, but
does not specify the amount, terms or timing of that investment.
Shareholders are being asked by Xingye to change control of the Board before knowing the terms on
which any support from them may be provided.

FAR EAST GOLD ASX ANNOUNCEMENT 3
Xingye - from failed takeover bid to seeking board control
Much of Xingye's Explanatory Memorandum repeats allegations made in its Bidder's Statements during
the takeover. Those allegations were answered in FEG's Target's Statement and four Supplementary
Target's Statements, all of which remain available on the ASX platform. Shareholders should weigh
those responses and the following points when assessing Xingye’s proposals:
• Independent Valuation. The A$0.324 to A$0.444 per share valuation, on a controlling-interest
basis, was determined by the independent expert, Lonergan Edwards & Associates (LEA),
supported by SRK Consulting as independent technical specialist. It was not a valuation devised
by your directors. LEA reconfirmed its valuation twice during the bid after considering each of
Xingye's statements. Xingye has not produced a competing independent valuation or
technical report to support its criticisms.
• Xingye’s stated intentions. In its original Bidder’s Statement, Xingye raised the possibility that
its nominee might resign and it might sell its shares if the takeover was unsuccessful. The bid
closed without Xingye obtaining control. Its nominee remains on the Board, and Xingye is now
seeking to remove four of FEG’s seven directors.
• Who would remain? Xingye seeks to remove all four members of the Independent Board
Committee formed to respond to its unsolicited takeover bid. If successful, and assuming the
other three directors remain in office, this would leave Xingye’s nominee and two directors
nominated by a former shareholder that sold its entire holding to Xingye. None of those three
directors holds shares in FEG.
• The current directors’ record and investment. The four directors Xingye seeks to remove
collectively hold, directly or indirectly, more than 11% of FEG’s shares and have each
participated in multiple capital raisings of the Company. With these four directors in office, FEG
has raised over A$50 million to fund project acquisitions, exploration and operations, including
completing the maiden JORC Mineral Resource Estimate and Scoping Study at its flagship
Idenburg Project.
Shareholders with questions about the meetings or how to vote can contact the Company at the details
below or through the FEG investor hub.

EXPLANATORY MEMORANDUM
Extraordinary General Meeting
21 October 2026
1. Introduction
This Explanatory Memorandum has been prepared for the information of shareholders of Far East Gold
Ltd in connection with the business to be conducted at the Extraordinary General Meeting to be held on
Wednesday 21 October 2026 at 1:00pm Brisbane time (AEST), being 2:00pm (AEDT). It should be read
in its entirety together with the Notice of Meeting and the Company Statement that precedes it. If you
are in doubt about what to do in relation to the Resolutions, you should consult your financial or other
professional adviser.
2. Background to the Meeting
On 3 September 2026 the Company received from the Requisitioning Shareholders
(i) a notice under section 203D of the Corporations Act (Cth) (the Act) of their intention to
move resolutions at a general meeting to remove Ms Monique Tang, Mr Justin Hastings
and Mr Michael Thirnbeck as directors of the Company, and
(ii) a request under section 249D of the Corporations Act requiring the directors to call and
arrange to hold a general meeting to consider those resolutions. The Company
announced receipt of the notices to ASX on the same day.
Section 249D of the Act provides that the directors of a company must call a general meeting on the
request of members with at least 5% of the votes that may be cast at the general meeting. The directors
must call the meeting within 21 days after the request is given to the company, and the meeting must
be held not later than two months after the request is given. The Requisitioning Shareholders hold
approximately 5.5% of the votes that may be cast at a general meeting, and the Board is satisfied that
the request complies with section 249D.
The directors have accordingly resolved to convene the Meeting. The Meeting has been called within
21 days of the request and will be held within two months of the request, as required by section 249D(5)
of the Act.
Shareholders should note that on 2 September 2026 Xingye also served a notice under section 203D of
the Act of its intention to move resolutions to remove other directors of the Company and has separately
convened a meeting of shareholders for that purpose. The Meeting the subject of this Notice is a separate
meeting, convened by the Company, and shareholders will need to vote separately at each meeting.
3. Resolutions 1 to 3 – Removal of Directors
3.1 Section 203D of the Corporations Act
Under section 203D of the Act, a public company may by ordinary resolution remove a director from
office despite anything in the company's constitution, any agreement between the company and the
director, or any agreement between any or all members of the company and the director. Notice of
intention to move the resolution must be given to the company at least two months before the meeting
is to be held; however, if the company calls a meeting after the notice of intention is given, the meeting
may pass the resolution even though the meeting is held less than two months after the notice is given.
This Meeting has been called after the section 203D notice was given and may therefore validly consider
the Resolutions.

3.2 Right of the Directors to put their case
Section 203D(4) entitles a director who is the subject of a removal resolution to put their case to members
by giving the company a written statement for circulation to members and by speaking to the motion at
the meeting. The Company has given a copy of the section 203D notice to each of Ms Tang, Mr Hastings
and Mr Thirnbeck as required by section 203D(3). If any of Ms Tang, Mr Hastings or Mr Thirnbeck
provides a written statement to the Company, the Company will circulate it to shareholders in accordance
with section 203D(4). The Company is not required to circulate a statement if it is more than 1,000 words
long or defamatory.
3.3 Effect of the Resolutions
Each Resolution, if passed, will take effect immediately upon being passed and the relevant director will
cease to hold office as a director of the Company from that time. If all three Resolutions are passed, the
Board will comprise Justin Werner, Shane Menere, Paul Thomas Walker and Christopher David
Atkinson.
3.4 Reasons for the Resolutions
The majority of the Board's reasons for supporting the Resolutions are set out in the Company Statement
at the front of this document. In summary, a majority of the Board considers that the Company needs a
Board whose priority is executing FEG's strategy for the benefit of all shareholders, rather than one
aligned with the interests of a single shareholder that has already sought, and failed, to acquire the
Company at A$0.13 to A$0.15 per share.
3.5 Voting exclusions
There are no voting exclusions under the Corporations Act or the ASX Listing Rules that apply to
Resolutions 1, 2 or 3. All shareholders, including Xingye and the Requisitioning Shareholders, are
entitled to vote on each Resolution.
3.6 Board recommendation
A majority of the Board (comprising Justin Werner, Shane Menere, Paul Walker and Christopher
Atkinson) recommend that shareholders vote FOR each of Resolutions 1, 2 and 3, and each of them
intends to vote all shares held or controlled by them in favour of each Resolution. The Chair of the
Meeting intends to vote all available undirected proxies FOR each Resolution.

5. Statements received from Directors under subsection 203D(4)(a) of the Corporations Act
1
18 September 2026
Dear shareholder,
I strongly recommend that shareholders vote AGAINST Resolution 3, which seeks to remove me as a
director of Far East Gold Ltd (Company).
I should remain as a director of the Company because:
• I have more than 30 years of technical, operational and project development expertise in
mining, including over 20 years hands-on experience with the Woyla project, which is one of
the Company’s key Indonesian projects. My experience provides valuable continuity and
expertise as the Company progresses its projects towards development.
• I am a conduit between the Company and its joint venture partners in the Company’s
Idenburg and Woyla Projects, including Wendy Yap.
1 Experience and project knowledge
I am a qualified geologist with more than 30 years' experience in mineral exploration, resource
development and project evaluation across Indonesia, Papua New Guinea and Australia. I hold a
Bachelor of Science (Honours) in Geology and Mineralogy from the University of Queensland and
have been a Member of the Australasian Institute of Mining and Metallurgy since 1989.
Throughout my career, I have held senior technical and executive roles with mining companies
operating across Southeast Asia, providing extensive expertise in exploration and project
development.
Importantly, I have extensive hands-on operational experience with the Woyla project and the region it
is in, gained through more than two decades of direct involvement in the project’s exploration and
advancement.
In addition, since my appointment to the Board of the Company in May 2022 I have also been directly
involved with the Idenburg Project.
My experience and knowledge provide valuable continuity and technical insight as the Company
progresses its Indonesian projects.
2 Conduit between the Company and a key strategic stakeholder
I was appointed as a non-executive director of the Company on 23 May 2022 as a nominee of the
vendors of the Woyla Project.
Those vendors include Wendy Yap, who is a vendor of both the Idenburg and Woyla Projects (and
until recently a substantial shareholder of the Company).
Wendy continues to retain a 49% ownership interest in both the Woyla and Idenberg projects and my
continued service on the Board can assist in maintaining knowledge sharing and cooperation between
the Company and Wendy, which will contribute to the success of those projects and the value of the
Company.
3 Recommendation
For the various reasons above, I strongly recommend that shareholders vote AGAINST Resolution 3.
Yours sincerely,
Michael Thirnbeck
Director, Far East Gold Ltd
1
18 September 2026
Dear shareholder
I urge shareholders to vote AGAINST Resolution 2, which proposes my removal as a director of Far East
Gold Ltd (Company).
I am a director who will be able to drive the long-term success of the Company and, in particular, its
Indonesian projects because:
• I bring a distinct strategic and geopolitical perspective to the Board;
• I have strong language skills and connections relevant to business in Asia;
• I am a bridge to the Company's most important joint venture partners in the Idenburg and Woyla
Projects, including Wendy Yap; and
• I am committed to the long-term success of the Company.
I am confident that my continued service on the Board is in the best interests of the Company and its
shareholders.
Invaluable experience and perspective
I am Professor of International Relations and Comparative Politics at the University of Sydney, with more than
20 years' experience researching international security, geopolitical risk, trade, regulatory developments and
international compliance in the Asia Pacific. My work focuses on the geopolitical forces shaping global supply
chains and access to critical resources.
As the Company continues to operate and grow in Indonesia, this experience provides a valuable strategic
perspective to Board deliberations, helping the Board navigate regional geopolitical developments, regulatory
change and other factors that may affect the Company's long-term opportunities and risks.
Strong language skills and Indonesian business connections
I am conversant in Mandarin Chinese and in Bahasa Indonesia and have strong connections throughout the
Indonesian business community. This enables me to engage effectively with key stakeholders and provide the
Board with valuable local insight as the Company advances its Indonesian projects towards development.
Bridge to the Company’s most important joint venture partners
I was appointed as a director of the Company on 24 June 2026, having been nominated by the vendors of the
Idenburg Project, including Wendy Yap. Wendy Yap is a vendor of both the Idenburg and Woyla Projects and
was, until recently, a substantial shareholder of the Company. She continues to hold a 49% interest in both
projects and remains the Company's joint venture partner.
My continued presence on the Board maintains an important bridge to Wendy Yap, facilitating engagement
with a key project stakeholder and supporting the successful development of these projects.
Commitment to the long-term success of the Company
I am committed to the long-term financial viability of the Company, to the successful development of the
Company’s projects, to the Company’s compliance with all applicable laws and regulations, and to accuracy,
timeliness, and transparency in the Company’s communications with shareholders and the market.
Recommendation
For the reasons outlined above, I recommend that shareholders vote AGAINST Resolution 2.
Yours sincerely,
Professor Justin Hastings
Director, Far East Gold Ltd
1
18 September 2026
Dear shareholder,
I urge shareholders to vote AGAINST Resolution 1, which proposes my removal as a director of Far
East Gold Ltd (Company).
I should not be removed as a director because:
• I am a critical link between the Company and its largest shareholder.
• My continued service on the Board is necessary to unlock substantial investment in the
Company that will benefit all shareholders.
• I bring very deep commercial, strategic and technical expertise to the Board.
• My proposed removal is an ill-conceived and impulsive ploy that has wasted shareholder
money.
Critical link to the Company’s largest shareholder
I serve on the Board as a nominee director of Xingye Gold (Hong Kong) Mining Company Limited
(Xingye). Xingye is the largest shareholder in the Company, holding 34.57% of the Company’s
shares.
Xingye’s parent company is Inner Mongolia Xingye Silver & Tin Mining Co., Ltd. (Xingye Silver &
Tin).
My appointment as nominee director was made under the Placement Agreement between Xingye and
the Company, under which Xingye invested approximately A$14.67 million in the Company and is
entitled to nominate up to two directors to the Board.
As General Manager of Xingye Silver & Tin's Global Business Unit, I have a deep understanding of
Xingye Silver & Tin’s objectives and priorities for the Company. This places me in a unique position to
serve as a critical link between the Company and Xingye Silver
